Terms of Service
These Terms of Service (“Terms”) govern access to and use of Waveguide (the “Service”), operated by Adwave (“Adwave”, “we”, “us”). By creating an account or using the Service you agree to these Terms on behalf of yourself and, if applicable, the business you represent (“you”, “Customer”).
1. The Service
Waveguide is an AI agent runtime: software that operates an autonomous software agent on your behalf to perform marketing and growth-related work, including reading data from accounts you connect, generating content, communicating with your leads and customers, and — subject to the approval controls described in Section 3 — executing actions in connected accounts.
2. Accounts and eligibility
You must be at least 18 years old and use the Service for business purposes. You are responsible for the accuracy of account information, for maintaining control of your sign-in email inbox and access keys, and for all activity under your account. Notify us promptly at hello@waveguide.adwave.com of any suspected unauthorized access.
3. Agent authority and approvals
This section is central to how the Service works. Read it.
a. Delegated authority. By connecting an account and configuring guardrails, you authorize the agent to act within those guardrails on your behalf. Actions the agent takes within your configured limits — including within standing policies you create — are your actions for the purposes of your relationships with third parties.
b. Approval-gated actions. The Service classifies actions by risk tier. Irreversible or financial actions require explicit human approval through a signed, single-use authorization; this requirement is enforced by the platform and cannot be disabled. External side-effect actions require either explicit approval or a standing policy that you created.
c. Standing policies. When you create a standing policy (for example, “auto-approve budget changes under $50/day”), you accept responsibility for actions executed under it while it is active. You can revoke policies at any time.
d. Spend caps. The daily advertising spend cap defaults to zero. You choose any higher value, and you are responsible for advertising costs incurred within it. Advertising costs are payable to the relevant ad platform and are not part of our fees.
e. Expiry and refusal. Approval requests expire unanswered after a short window, in which case the action is not taken. We may refuse, delay, or reverse agent actions that we reasonably believe are unsafe, unlawful, or abusive.
4. Fees and billing
a. Plans. Current plans and pricing are at waveguide.adwave.com/pricing. Fees consist of a monthly base fee plus metered usage of AI model capacity beyond your plan’s included budget, billed at our cost multiplied by 1.3.
b. Trial. New accounts receive a 14-day free trial. A payment method is collected at signup; the first charge occurs when the trial ends unless you cancel before then.
c. Budget guardrails. The Service notifies you at 80% of the included model budget, reduces model costs at 100%, and suspends agent activity at 120% until you explicitly resume it. These guardrails bound metered charges within a billing cycle.
d. Payment. Fees are billed by Stripe on a monthly cycle. If a payment fails, we provide a 7-day grace period before suspending the Service. Fees are non-refundable except where required by law.
e. Changes. We may change pricing with at least 30 days’ notice; changes take effect at your next billing cycle.
5. Acceptable use
You will not use the Service to: (a) send spam or unsolicited communications in violation of applicable law (including CAN-SPAM, TCPA, and equivalent laws in your jurisdiction); (b) violate the terms of connected platforms (Google, Meta, Stripe, Slack, Telegram, and others); (c) engage in deceptive advertising or impersonation; (d) process data you lack the right to process; (e) probe, disrupt, or circumvent the Service’s security controls, including its sandbox, approval, and egress systems; or (f) resell the Service without our written agreement. The full Acceptable Use Policy is part of these Terms. We may suspend accounts engaged in prohibited use.
6. Your data
a. Ownership. You retain all rights to data you provide and data the agent produces for you (briefs, creative, ledger records) (“Customer Data”). We claim no ownership of it.
b. License to operate. You grant us the rights needed to operate the Service: to process Customer Data with the subprocessors listed in our Privacy Policy, solely to provide the Service.
c. Export and deletion. You can export a complete copy of Customer Data and permanently delete your tenant — including workspace, credential vault, and history — at any time, self-serve, from the dashboard. Deletion is irreversible.
d. Credentials. Connected-account credentials are stored encrypted and are never made available to the AI model. Our security practices are described at waveguide.adwave.com/security.
7. AI outputs — important disclaimers
a. The Service uses large language models. Outputs may be inaccurate, incomplete, or unsuitable despite our safeguards. You are responsible for reviewing approval-gated actions before approving them, for the standing policies you create, and for compliance of published advertising content with applicable law and platform policy.
b. The Service is not a substitute for professional advice (legal, financial, or otherwise), and results — leads, conversions, revenue — are not guaranteed.
8. Availability and changes to the Service
We aim for high availability but do not guarantee uninterrupted service. We may modify features with reasonable notice of material reductions. Scheduled maintenance and factors outside our control (including outages of connected platforms and model providers) may affect the Service.
9. Term and termination
These Terms apply while you use the Service. You may cancel at any time from the Billing page, effective at the end of the billing cycle. We may suspend or terminate for material breach (including non-payment after the grace period and violations of Section 5), with notice where practicable. After termination, Customer Data remains exportable for 30 days, after which we may delete it.
10. Warranties and liability
a. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
b. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. OUR AGGREGATE LIABILITY ARISING FROM THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
c. Nothing in these Terms limits liability that cannot be limited by law, including liability for willful misconduct.
11. Indemnity
You will defend and indemnify Adwave against third-party claims arising from Customer Data, your advertising content, your violation of Section 5, or your breach of connected-platform terms — except to the extent caused by our breach of these Terms.
12. General
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules; exclusive venue is the state and federal courts of Delaware. We may update these Terms with at least 14 days’ notice for material changes (posted here and emailed to account owners); continued use after the effective date constitutes acceptance. If any provision is unenforceable, the remainder stands. These Terms plus the Acceptable Use Policy, the Privacy Policy, and, where executed, the DPA are the entire agreement.
